1. Introduction
These terms and conditions (“Terms”) govern your use of the Dot Media website and any services provided by Dot Design Media Ltd (“Dot Media”, “we”, “us”, “our”), a company registered in England and Wales (Company Registration Number: 07889155). By using our website or engaging our services, you agree to be bound by these Terms.
2. Services
Dot Media provides digital marketing, branding, website design, SEO, PPC, LinkedIn marketing, print design, and related services. The specific scope, deliverables, timelines, and fees for each project are agreed upon separately in writing between Dot Media and the client prior to commencement of work.
3. Payment Terms
Unless otherwise agreed in writing:
- A deposit of 50% is required before work commences on any project.
- The remaining balance is due upon completion, before final files or access are transferred to the client.
- Monthly retainer services are invoiced in advance at the start of each month.
- Invoices are payable within 14 days of the invoice date unless otherwise stated.
- Late payments may incur interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.
4. Intellectual Property
Upon receipt of full payment, Dot Media assigns all intellectual property rights in the final deliverables to the client, except for any pre-existing materials, third-party assets, or tools owned by Dot Media. Dot Media retains the right to display completed work in its portfolio for promotional purposes unless the client specifically requests otherwise in writing.
The client warrants that any materials, images, or content supplied to Dot Media do not infringe any third-party intellectual property rights, and agrees to indemnify Dot Media against any claims arising from such materials.
5. Client Responsibilities
The client agrees to:
- Provide accurate and timely information, content, and feedback required to complete the project.
- Respond to requests for approval or information within a reasonable timeframe.
- Ensure that any materials provided to Dot Media do not infringe third-party rights.
Delays caused by the client’s failure to provide required materials or approvals may result in adjusted timelines and additional costs.
6. Revisions and Amendments
Each project agreement will specify the number of included revision rounds. Additional revisions beyond those included will be charged at our standard hourly rate, which will be communicated to the client in advance. Significant changes to the project scope after work has commenced may require a revised quote.
7. Cancellation
Either party may cancel a project by providing written notice. In the event of cancellation by the client, any work completed up to the point of cancellation will be invoiced, and the deposit is non-refundable. In the event of cancellation by Dot Media, any unused portion of the deposit will be refunded.
8. Limitation of Liability
To the fullest extent permitted by law, Dot Media’s total liability to the client in connection with any project shall not exceed the total fees paid by the client for that project. Dot Media shall not be liable for any indirect, consequential, special, or incidental damages, including loss of profits or business opportunity, arising from the provision of services.
9. Website Use
The content on our website is provided for general information purposes only. While we endeavour to keep the information up to date and accurate, we make no warranties or representations of any kind, express or implied, about the completeness, accuracy, or suitability of the information. Your use of any information on our website is entirely at your own risk.
10. Third-Party Services
Our services may involve the use of third-party platforms (such as Google Ads, Meta, or LinkedIn). We are not responsible for changes to third-party platform policies, pricing, or availability, and we do not guarantee specific results from advertising campaigns. Performance targets are estimates based on experience and are not contractual guarantees.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to These Terms
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated date. Continued use of our website or services after changes are posted constitutes your acceptance of the updated Terms.
